This Privacy Policy describes R Capital Asset Management's policies and procedures on the collection, use and disclosure of your information when you use the R Capital Asset Management Service. We will not use or share your personal information with anyone except as described in this Privacy Policy. This Privacy Policy does not apply to personal information we collect by other means (including offline) or from other sources. Capitalized terms that are not defined in this Privacy Policy have the meaning given them in our Terms of Service (below).

User-Provided Information: You provide us information about yourself, such as your name and e-mail address, if you voluntarily contact us or complete a survey with the Service. We may use your email address to send you Service-related notices (including any notices required by law, in lieu of communication by postal mail). We may also use your contact information to send you marketing messages. If you do not want to receive such messages, you may opt out by following the instructions in the message. If you correspond with us by email, we may retain the content of your email messages, your email address and our responses.

Cookies: When you visit the Service, we may send one or more "cookies" - small data files - to your computer to uniquely identify your browser and let R Capital Asset Management help you log in faster and enhance your navigation through the site. A cookie may convey anonymous information about how you browse the Service to us, but does not collect personal information about you. A persistent cookie remains on your computer after you close your browser so that it can be used by your browser on subsequent visits to the Service. Persistent cookies can be removed by following your web browser's directions. A session cookie is temporary and disappears after you close your browser. You can reset your web browser to refuse all cookies or to indicate when a cookie is being sent. However, some features of the Service may not function properly if the ability to accept cookies is disabled.

Log Files: Log file information is automatically reported by your browser each time you access a web page. When you use the Service, our servers automatically record certain information that your web browser sends whenever you visit any website. These server logs may include information such as your web request, Internet Protocol ("IP") address, browser type, referring / exit pages and URLs, number of clicks, domain names, landing pages, pages viewed, and other such information.

Clear GIFs Information: When you use the Service, we may employ clear GIFs (also known as web beacons) which are used to track the online usage patterns of our users anonymously. No personally identifiable information from your R Capital Asset Management account is collected using these clear GIFs. In addition, we may also use clear GIFs in HTML-based emails sent to our users to track which emails are opened by recipients. The information is used to enable more accurate reporting and make R Capital Asset Management better for our users.

Third Party Services: R Capital Asset Management may use Google Analytics or Mixpanel to help understand use of the Service. Google Analytics and Mixpanel collect the information sent by your browser as part of a web page request, including cookies and your IP address. Google Analytics and Mixpanel also receive this information and their use of it is governed by their Privacy Policies.

How We Share Your Information

Personally Identifiable Information: R Capital Asset Management may share your personally identifiable information with third parties for the purpose of providing the Service to you. If we do this, such third parties' use of your information will be bound by this Privacy Policy. We may store personal information in locations outside the direct control of R Capital Asset Management (for instance, on servers or databases co-located with hosting providers).

As we develop our business, we may buy or sell assets or business offerings. Customer, email, and visitor information is generally one of the transferred business assets in these types of transactions. We may also transfer or assign such information in the course of corporate divestitures, mergers, or dissolution.

We may share or disclose your information with your consent, such as if you choose to sign on to the Service through a third-party service. We cannot control such third parties' use of your information.

R Capital Asset Management may disclose your personal information if required to do so by law or subpoena or if we believe that it is reasonably necessary to comply with a law, regulation or legal request; to protect the safety of any person; to address fraud, security or technical issues; or to protect R Capital Asset Management's rights or property.

Non-Personally Identifiable Information: We may share non-personally identifiable information (such as anonymous usage data, referring/exit pages and URLs, platform types, number of clicks, etc.) with interested third parties to help them understand the usage patterns for certain R Capital Asset Management services.

R Capital Asset Management may allow third-party ad servers or ad networks to serve advertisements on the Service. These third-party ad servers or ad networks use technology to send, directly to your browser, the advertisements and links that appear on R Capital Asset Management. They automatically receive your IP address when this happens. They may also use other technologies (such as cookies, JavaScript, or web beacons) to measure the effectiveness of their advertisements and to personalize the advertising content. R Capital Asset Management does not provide any personally identifiable information to these third-party ad servers or ad networks without your consent. However, please note that if an advertiser asks R Capital Asset Management to show an advertisement to a certain audience and you respond to that advertisement, the advertiser or ad server may conclude that you fit the description of the audience they are trying to reach. The R Capital Asset Management Privacy Policy does not apply to, and we cannot control the activities of, third-party advertisers. Please consult the respective privacy policies of such advertisers for more information.

We cannot, however, ensure or warrant the security of any information you transmit to R Capital Asset Management or guarantee that your information on the Service may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards.

In the event that personal information is compromised as a result of a breach of security, R Capital Asset Management will promptly notify those persons whose personal information has been compromised, in accordance with the notification procedures set forth in this Privacy Policy, or as otherwise required by applicable law.

Your Choices About Your Information

You may, of course, decline to submit personally identifiable information through the Service, in which case R Capital Asset Management may not be able to provide certain services to you. 1. General Principles
    1. The security laws applicable to private company finance are complicated and occasionally ambiguous. In general, they are designed to protect unsophisticated people from making ill-advised investments. The following terms are designed to minimize the risk that any unaccredited individuals try to become investors through the Service, and to protect the Company in the event that anyone claims he, she or it was damaged by using the Services.

  3. What You Are Promising
    1. You are promising to use R Capital Asset Management responsibly and in a professional manner, and to hold us harmless against any damage that may happen to you or us as a result of your use of R Capital Asset Management.
  4. Arbitration
    1. Users have waived the right to bring suit in a court and/or to participate in “class action” suits. Instead, we will use binding arbitration with each party in the event of a dispute.
  5. Other Rights We Have
    1. Users of R Capital Asset Management must understand that we have virtually unlimited rights to reject any Investor, to delete any Content, or to publish any Content provided to us by an Investor on R Capital Asset Management or in any other medium, including for the purposes of marketing our Service.
  6. There Are Things We Are Absolutely Not Obligated To Do
    1. We are not obligated to display your Content to any other user. No part of this website is intended to constitute investment advice. You should seek your own independent advice.

    1. Personal information we collect from users will be maintained consistent with our Privacy Policy, such as information substantiating your status as an Accredited Investor.
  8. Disputes With Others
    1. If disputes arise between you and anyone other than the Company, we have no obligation to participate or assist either party.
  9. Disclaimers; Limitations; Waivers Of Liability
    1. These are exceptions our attorneys and investors make us include to ensure that we are not at risk for significant liabilities.
  10. Term And Termination
    1. This agreement will remain in effect between you and the Company unless either the Company terminates it, or you terminate it by deleting all your Content from the Service, closing your account or you cease to view Content accessible through the Site. 12. Miscellaneous
    1. These are all the things that make a contract enforceable and unambiguous, address the rules applicable to any disputes between you and the Company, and cover certain issues related to international users.
  13. Definitions
    1. Most terms used in this agreement are defined in this section. For your convenience, when those terms are used the first time, they are hyperlinked to their definition in this section.

Federal securities law requires securities sold in the United States to be registered with the Securities and Exchange Commission, unless the sale qualifies for an exemption. Generally, “private placement” offering utilized these exemptions because they allow them to raise capital without complying with the costly and time-consuming registration process. One of the requirements of the “private placement” exemption is that neither the company which is offering its securities nor any person acting on the Issuer’s behalf may offer or sell the securities by any form of “general solicitation”. Furthermore, many states and foreign countries all have jurisdiction-specific regulations governing securities transactions that must be observed. You must make your own assessment regarding regulatory requirements as may be applied to your activities on our site.

  6. Without limiting the generality of the foregoing, you specifically acknowledge that the Company has the right to terminate or limit your account for any reason or no reason at all. The Company is exempt from liability to any person for any claim based upon its termination of an account or disabling of access to or removal of any Content, including material it believes, in its sole discretion to violate this agreement, regardless of whether the material ultimately is determined to be infringing or otherwise prohibited, and regardless of whether such termination or disabling has the effect of reducing the value of any Content or opportunities that might otherwise have been available to you. By using the Service, you agree that notice to you through an email to the email address you provided in your profile constitutes reasonable efforts to notify you of any removal or disabling if such notice is required
  7. Comments, Feedback, Suggestions, Ideas, And Other Submissions. 1. Amendments to this Agreement. We may amend this agreement at any time in our sole discretion, effective upon posting the amended Terms at the domain of where the prior version of this agreement was posted, or by communicating these changes through any written contact method we have established with you. Your use of the Services following the date on which such amended Terms are published will constitute consent to such amendments.
  2. Governing Law/Resolution Of Disputes/Waiver Of Injunctive Relief
    1. Governing Law/Venue. This agreement and all aspects of the Service shall be governed by and construed in accordance with the internal laws of the United States and the State of Delaware governing contracts entered into and to be fully performed in Delaware (i.e., without regard to conflict of law's provisions) regardless of your location except that the arbitration provision shall be governed by the Federal Arbitration Act. For the purpose of any judicial proceeding to enforce such award or incidental to such arbitration or to compel arbitration, or if for any reason a claim proceeds in court rather than in arbitration, the parties hereby submit to the non-exclusive jurisdiction of the state and Federal courts sitting in Delaware, and agree that service of process in such arbitration or court proceedings shall be satisfactorily made upon it if sent by certified, express or registered mail addressed to it at the address set forth in the books and records of the Company, or if no such address has been provided, by email to the email address provided by the relevant parties to the Company in connection with their use of the Service. With respect to any disputes or claims not subject to informal dispute resolution or arbitration (as set forth below), you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts located in Delaware, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in the state and federal courts located in Delaware
    2. Injunctive Relief. You acknowledge that the rights granted and obligations made hereunder to the Company are of a unique and irreplaceable nature, the loss of which shall irreparably harm the Company and which cannot be replaced by monetary damages alone so that the Company shall be entitled to injunctive or other equitable relief (without the obligations of posting any bond or surety) in the event of any breach or anticipatory breach by you. You irrevocably waive all rights to seek injunctive or other equitable relief and agree to limit your claims to claims for monetary damages (if any)
    3. Informal Negotiations. To expedite resolution and control the cost of any dispute, controversy or claim related to this agreement ("Dispute"), you and the Company agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one person to the other. You will send your notice to R Capital Asset Management LLC, 3524 Silverside Road, Suite 35B, Wilmington, DE, ATTENTION: LEGAL DEPARTMENT.
    4. Binding Arbitration. If you and the Company are unable to resolve a Dispute through informal negotiations, either you or the Company may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website. The determination of whether a Dispute is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules and, where appropriate, limited by the AAA Consumer Rules. If such costs are determined by the arbitrator to be excessive, the Company will pay all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except as otherwise provided in this agreement, you and the Company may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator. Judgment upon any award rendered by the arbitrator(s) may be entered and enforcement obtained thereon in any court having jurisdiction. All arbitration proceedings shall be closed to the public and confidential and all records relating thereto shall be permanently sealed, except as necessary to obtain court confirmation of the arbitration award. Subject to Section 9 of this Agreement (Disclaimers; Limitations; Waivers Of Liability), the arbitrator shall have authority to grant any form of appropriate relief, whether legal or equitable in nature, including specific performance. You and we agree to abide by all decisions and awards rendered in such proceedings. Such decisions and awards rendered by the arbitrator shall be final and conclusive. All such controversies, claims or disputes shall be settled in this manner in lieu of any action at law or equity.
    5. Restrictions/No Class Actions. You and the Company agree that any arbitration shall be limited to the Dispute between the Company and you individually. To the full extent permitted by law, (1) no arbitration shall be joined with any other; (2) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (3) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons
    6. Exclusive Process. You acknowledge that the arbitrator(s), and not any federal, state or local court or agency, shall have exclusive authority to resolve any dispute arising under or relating to the interpretation, applicability, enforceability or formation of this Agreement, including but not limited to any claim that all or any part of this Agreement is void or voidable. Without limiting the generality of the foregoing, the arbitrator shall have the exclusive authority to interpret the scope of this clause, and the validity of the controversy, claim or dispute.
    7. Exceptions to Informal Negotiations and Arbitration. You and the Company agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (1) any Disputes seeking to enforce or protect, or concerning the validity of, any of your or the Company's intellectual property rights; (2) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (3) any claim for injunctive relief.
    8. To the extent non-U.S. laws mandate a different approach with respect to governing law, venue, statute of limitation, and dispute resolution method with respect to certain non-U.S. persons, each such required standard shall be applied, but all other provisions under this section shall remain in full force.
  3. Waiver/Severability
    1. The failure of the Company to require or enforce strict performance by you of any provision of this agreement or to exercise any right under this agreement shall not be construed as a waiver or relinquishment of the Company's right to assert or rely upon any such provision or right in that or any other instance. In fact, the Company may choose to enforce certain portions of this agreement more strictly or to interpret certain provisions more strictly against certain users than it does against users in general, and such disparate treatment shall not be grounds for failing to comply with all this agreement as so interpreted.
    2. You and the Company agree that if any portion of this agreement, except any portion of Section 12(2)(6), is found illegal or unenforceable, in whole or in part by any court of competent jurisdiction, such provision shall, as to such jurisdiction, be ineffective to the extent of such determination of invalidity or unenforceability without affecting the validity or enforceability thereof in any other manner or jurisdiction and without affecting the remaining provisions of the Terms, which shall continue to be in full force and effect. If Section 12(2)(6) is found to be illegal or unenforceable then neither you nor the Company will elect to arbitrate any Dispute falling within that portion of XI(2)(6) found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the County of San Francisco, State of California, United States of America, and you and the Company agree to submit to the personal jurisdiction of that court.
    3. The Company operates and controls the Service from its offices in the United States. The Company makes no representation that the Service is appropriate or available in other locations. The information provided on or through the Service is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject the Company to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Service from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
    4. Certain information provided by Entrepreneurs or Investors may be subject to United States export controls. Thus, no such materials may be downloaded, exported or re-exported (1) into (or to a national or resident of) Cuba, Iraq, North Korea, Iran, Syria, or any other country to which the United States has embargoed goods; or (2) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By downloading any material available through the Service, you represent and warrant that you are not located in, under the control of, or a national or resident of, any such country or on any such list. The parties specifically disclaim application of the Convention on Contracts for the International Sale of Goods.
    5. Neither the course of conduct between the parties nor trade practice will act to modify this agreement to any party at any time without any notice to you. You may not assign this agreement without the Company's prior written consent. This agreement contains the entire understanding of you and the Company, and supersedes all prior understandings of the parties hereto relating to the subject matter hereof, and cannot be changed or modified by you except as posted on the Service by the Company. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
    6. The section headings used herein and the summary of terms at the beginning of this agreement are for convenience only and shall not be given any legal import. Upon the Company's request, you will furnish the Company any documentation, substantiation or releases necessary to verify your compliance with this agreement. You agree that this agreement will not be construed against the Company by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of this agreement and the lack of signing by the parties hereto to execute this agreement.
  4. Statute of Limitations. You and the Company both agree that regardless of any statute or law to the contrary but only to the extent permissible by law in each relevant jurisdiction, any claim or cause of action arising out of or related to use of the Service, this agreement or our Privacy Policy must be filed within ONE (1) YEAR after such claim or cause of action arose or be forever barred.
  5. No Third Party Beneficiaries. This agreement is between you and the Company. No user has any rights to force the Company to enforce any rights it may have against any you or any other user, except to the extent that Entrepreneurs may enforce their own intellectual property rights related to Content offered through the Service.
  6. Government Use. If You are a part of an agency, department, or other entity of the United States Government ("Government"), the use, duplication, reproduction, release, modification, disclosure or transfer of the any of our products or Services is restricted in accordance with the Federal Acquisition Regulations as applied to civilian agencies and the Defense Federal Acquisition Regulation Supplement as applied to military agencies. The Service and any related software is a "commercial item," "commercial computer software" and "commercial computer software documentation". In accordance with such provisions, any use of the Service by the Government shall be governed solely by this agreement.
